These Terms of Service (the "Terms") apply to all users of the Site, including without limitation browsers, vendors, wholesale customers, retail customers, and contributors of content.

Both wholesale and retail customers are subject to these Terms, and special provisions related to wholesale business shall prevail for wholesale customers.

We reserve the right to modify these Terms at any time, and any modifications will be posted on this page. It is your responsibility to review this page periodically for changes. 3.1 Wholesale Customers: Wholesale customers must register a wholesale account and provide valid business credentials (including but not limited to business license, tax registration, etc.). We reserve the right to review and approve wholesale account applications. Minimum order quantities, pricing, and payment terms for wholesale orders are subject to separate wholesale agreements or quotations.

3.2 Retail Customers: Retail customers may place orders directly on this Site. Retail prices are as displayed on the Site, and we reserve the right to adjust retail prices at any time.

3.3 Factory Direct Advantage: As a brand with our own factory, ZEPHONIX guarantees that all products are directly manufactured in our own facility with no intermediaries. Wholesale customers enjoy factory-direct pricing. Please contact us through official channels for quotations.

Section 4 - Orders and Pricing

4.1 All orders are subject to our acceptance. We reserve the right to refuse or cancel any order for any reason at any time, including but not limited to: product unavailability, pricing errors, suspected fraud, or failure of wholesale customer qualification review.

4.2 We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers, or distributors. Wholesale orders are subject to a specialized review process.

4.3 Product prices are as displayed on this Site. We reserve the right to change prices at any time, but confirmed orders will not be affected. All prices are exclusive of VAT and customs duties unless expressly stated otherwise.

4.4 Pricing for wholesale customers is subject to executed wholesale agreements or quotations and is not publicly displayed. Wholesale customers must log in to their accounts to view wholesale pricing.

Section 5 - Payment and Delivery

5.1 We accept payment methods as specified on this Site. You agree to provide current, complete, and accurate purchase and account information and to promptly update it.

5.2 Delivery times vary depending on destination. Standard shipping typically takes 7-20 business days, while express shipping takes 6-8 business days. All delivery times are estimates, and actual delivery may be delayed due to customs clearance, holidays, or other factors.

5.3 Title to products passes to you upon full payment, but the risk of loss or damage passes to you upon delivery.

5.4 For wholesale orders, delivery terms, shipping costs, and delivery times are governed by the wholesale agreement. Bulk orders are typically shipped via sea freight or air freight, with specifics to be negotiated based on order volume.

Section 6 - Returns and Refunds

6.1 Retail Customers: Please refer to our Return Policy page for detailed information. Non-customized items may be returned within 30 days of receipt, provided they are in original condition and unused.

6.2 Wholesale Customers: Return policies for wholesale orders are governed by the wholesale agreement. Generally, wholesale orders are not accepted for return without cause. For quality-related returns, please contact us within 7 business days of order placement.

6.3 Customized Products: All customized products (including engraving, size customization, etc.) are not eligible for return or exchange unless there is a quality defect. Please carefully review design details before placing a custom order.

Section 7 - Intellectual Property

7.1 All content on this Site, including but not limited to text, images, logos, icons, graphics, audio clips, digital downloads, data compilations, and software, is the property of ZEPHONIX or its content suppliers and is protected by international copyright laws.

7.2 You may not reproduce, distribute, display, sell, rent, or otherwise exploit any portion of this Site or any content without our express written permission. Product images and materials provided to wholesale customers may only be used for the purpose of selling ZEPHONIX products and may not be used for other commercial purposes.

8.1 To the maximum extent permitted by law, ZEPHONIX shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising out of the use of this Site or the purchase of our products.

8.2 In any event, ZEPHONIX's total liability to you shall not exceed the amount you have paid to us through this Site in the preceding six months.

8.3 We do not warrant that the operation of this Site will be uninterrupted, timely, secure, or error-free. You agree that we may remove the service for indefinite periods of time or cancel the service at any time, without notice to you.
